Dealer won't come off of an asking price of 39,800

This is absolutely fully loaded with only 13500 miles/one owner.  I can't find anything wrong with it, but this price seems a bit high.  
Your thoughts?

Considering it's going to be BMW certified, I'm assuming. It's fully loaded and the stock price for a new 335xi is around $42,000 and fully loaded is over $50,000. It's not high miles so I can understand why they won't come down.
