Key works, but FOB gives me 3 beeps... and doors do not lock or unlock. What do I do?

I have a 1998 323i convertible (E36 M52 stick). My key works fine in the locks and trunk
lock. However, when I use the FOB, I get 3 beeps... and the door locks & trunk do not
lock or unlock. I have followed the proc to reset the FOB mult times, with no success.
There is nothing obvious here from what I can see. Any recommendations? I really do not
want to have to take this to a stealer.

Did you ever find an answer to this question? Mine is doing the same thing on my 1998 Z3.
