I have my sights on a 2008 S with 9000 KM, 5400 miles. It is mint in appearance. Inside looks new. Used car dealer is asking $40,000. Is this a good deal.

According to KBB.com, the Dealer price for the 2008 Boxster S with Bi-xenon, Bose (and I'm assuming you mean Premium Wheels) should be around $45k in Excellent Condition. Add about $3k, if it were a Certified Pre-Owned. Looks like your being offered that a Private Party would likely sell for in "Good" Condition. I'd say it was a good deal...have it looked at by a local mechanic first though.
Make sure that the ISB has been replaced with a ceramic version. If not, the price should be lowered and if you buy the car, be sure to have it done. Look at the clutch while you're in there. A clutch can last 5 minutes depending on who and how it was driven. Good luck.
doesn't seem like a good deal to me- a five year old sportscar from a used car dealer- if you must have one, try to buy one from the original owner- face to face- it should have maintenance records from day one- and cost less because the owner doesn't have "overhead" and will absorb the depreciation if he needs the money- otherwise, just throw the dice
