honda drivetrain issues

My 5 speed wont change gears and when I let
clutch out it dies, also when I towed it with clutch
in it makes  noise

Check the clutch cable and adjusting points between the clutch pedal and the transmission for signs of stretching or other damage (kinks anywhere along the cable, wear at either end, or even one of the mounting brackets if any for signs of being bent or cracked). If all that is ok, then probably time for all new clutch components .
