2005 G35 check engine code P1764

My 165,000 miles G35 check engine light turned on and the code is P1764.
The symptom is 1st gear slip with hard gas pedal & uphill stop/go.  Checked
transmission fluid clear/ no burning smell/ full.  Do I have to replace the valve
body (or install Transgo valve body upgrade which is a lot cheaper ?).
Final question is with such high mileage, is it worth to repair?  Thanks!
